1.1 Parties and Acceptance

These Terms & Conditions ("Terms") are a legal agreement between you ("User", "you") and RewardYou LLC, a company registered at Euro House, Richmond Hill Road, Kingstown, St Vincent and the Grenadines (together with its affiliates, "RewY", "we", "us"). By accessing or using the RewY websites and applications, any related dashboards, developer APIs/SDKs/CLI, and associated documentation (collectively, the "Services"), you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy referenced herein.

1.2 Changes

We may update these Terms to reflect changes to the Services, our practices, or legal requirements. If we make material changes, we will provide notice by posting the updated Terms and revising the "Last Updated" date. The User will be advised of the effective date of the change and of the effectiveness of the change, unless the User objects to the change within one month of receipt of the letter in writing / by Ticket system. Unless a mutual agreement can be reached, Conny and the User terminate the contractual relationship at the next ordinary termination date.

1.3 Minimum Age

You must be at least 18 years old to use the Services. The Services are not intended for minors and we do not knowingly permit access to minors, even with parental consent. We do not knowingly collect or process personal data of children; if we become aware, we will delete it promptly in line with our Privacy Policy.

1.4 Definitions

Key terms used in these Terms:

• Account: Your registered account for the Services.
• User Content: Any information or materials you submit to or through the Services.
• Outputs: Any AI-generated content produced by the Services.
• Messages: Discrete prompt/response interactions with the Services.
• Sessions: A continuous interaction window counted for usage limits.
• AI Phone Line: Any telephony number provided by RewY to route calls through the Services.
• Third-Party Services: Services or platforms that integrate with the Services (e.g., Telegram, WhatsApp, Google, Microsoft, Stripe).

2.1 Nature of the Services

RewY is an AI-powered executive assistant platform that orchestrates multiple AI models to provide automated productivity and lifestyle management, including communication handling, calendar optimization, email and document assistance, travel planning, meeting intelligence, expense/shopping analysis, and automation of routine tasks. Outputs may be inaccurate or incomplete and are not a substitute for professional advice (e.g., medical, legal, financial); you remain solely responsible for decisions made using the Services.

2.3 Usage Limits

RewardYou START and PRO App offers limited text messages/day; minutes of audio calls/week; minutes of video calls/week; up to a number of sessions/day; one team seat as described on the Website. API access subject to rate limits. Enterprise: limits are configurable, with options for unlimited seats, messages, audio/video, sessions, and API usage as specified in an Enterprise Agreement. Usage is metered across all interfaces (web, API, messenger apps, AI Phone Line). Messages sent via integrated messengers count toward text limits; minutes on AI Phone Line count toward audio/video limits.

3.1 Account Registration

You must provide accurate, current, and complete information during registration and maintain the accuracy of such information. You are responsible for all activity under your Account.

3.2 Account Security

You must maintain the security of your Account credentials, including:

• Keeping passwords confidential
• Enabling multi-factor authentication when available
• Promptly notifying us of any unauthorized access
• Not sharing your Account with others

3.3 Biometric Authentication

Where available, you may enable biometric authentication (fingerprint, facial recognition). You acknowledge that biometric data is processed locally on your device and not transmitted to RewY servers unless explicitly stated.

4.1 Prohibited Uses

You may not use the Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt the Services
• Use the Services for any fraudulent purpose
• Reverse engineer or attempt to extract source code

4.2 Platform Integrity

You must not take any action that could harm the Services or interfere with other users' use of the Services. This includes excessive API calls, automated scraping, or any activity that could overload our systems.

5.1 Pricing and Plans

Prices for START and PRO per month or/and per year are described on the website. Enterprise: custom pricing with volume discounts for annual commitments. Prices may change on 30 days' notice (or as set in an Enterprise Agreement). Promotional or "lifetime price" offers (including countdown-based discounts) apply only if you maintain the same plan continuously without lapse, are not transferable, and may be withdrawn for fraud, abuse, or legal/regulatory reasons. If required by consumer law, material changes will be notified in advance and you may cancel before they take effect.

5.2 Payment Methods

You must provide a valid payment method. By providing payment information, you authorize us to charge the applicable fees to your payment method. If payment fails, we may suspend or terminate your access to the Services.

5.3 Price Changes

We may change our fees at any time. We will provide at least 30 days' notice before any price increase takes effect. Your continued use of the Services after the price change constitutes acceptance of the new fees.

5.4 Taxes

Fees are exclusive of taxes unless stated otherwise at checkout. Where required by law, prices will be shown inclusive of applicable taxes (e.g. VAT) for your billing location. You are responsible for all taxes (other than our income taxes).

6.1 Privacy Policy

Our Privacy Policy explains how we collect, use, and protect your personal data. By using the Services, you agree to our Privacy Policy.

6.2 Data Processing

We process your data in accordance with applicable data protection laws, including GDPR. You retain ownership of your User Content, and we only process it to provide the Services.

6.3 DPA & SCCs (Enterprise)

On request (and where required by law), we will provide a Data Processing Agreement (including Standard Contractual Clauses where applicable). If the DPA conflicts with these Terms on data protection topics, the DPA governs. We maintain a sub-processor list and will give prior notice of material additions; you may object on reasonable, documented grounds related to data protection, and we will work in good faith to remedy or offer alternatives. Data Protection is based on our Privacy Policy.

7.1 RewY Rights

The Services, including all software, designs, trademarks, and content (excluding User Content), are owned by RewY and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Services without our permission.

8.1 Your Content

As between you and RewY, you retain rights to your User Content. You grant RewY a worldwide, non exclusive, royalty free licence to host, process, index, transcribe, and display User Content solely to provide the Services and associated integrations you enable and grant the exclusive, irrevocable right of use, unlimited in terms of time, space, and content. You represent that you have the necessary rights to grant this licence. In relation to Outputs, as between you and RewY, and subject to third-party rights and applicable law, you may use Outputs for any lawful purpose under these Terms. You are responsible for reviewing Outputs and avoiding infringement or misuse of third-party content or rights. RewY does not provide an IP indemnity for Outputs.

9.1 Warranty

The Services are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9.2 Limitation of Liability

To the maximum extent permitted by law, RewY shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

9.3 Third-Party Services

We are not responsible for the availability, accuracy, or content of Third-Party Services. Your use of Third-Party Services is subject to their terms and conditions.

10.1 Governing Law

These Terms are governed by the laws of St. Vincent and the Grenadines, without regard to conflict of law principles.

10.2 Arbitration

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the laws of St. Vincent and the Grenadines.

11.1 Commencement

These terms begin when you purchase the RewardApp for the agreed duration.

12.1 Termination by You

You may terminate your Account at any time through your account settings. Termination does not relieve you of any payment obligations for fees already incurred.

12.2 Termination by RewY

We may suspend or terminate your access to the Services at any time if you violate these Terms, fail to pay fees, or for any other reason at our discretion with or without notice.

12.3 Effect of Termination

Upon termination, your right to use the Services will cease immediately. We may delete your Account and User Content, though some data may be retained as required by law or for legitimate business purposes.

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RewY regarding the Services.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.1 Communication Methods

We may provide notices via the Services, your Account email, or our website. You consent to receive electronic communications. Notices are effective when sent to your Account email you last named; it is your responsibility to keep it current. For legal notices to RewY, email is acceptable in addition to the postal address to our official email address that may be published from time to time on the RewY website.
